TERMS AND CONDITIONS FOR RESIDENT REPRESENTATIVE SERVICE Scope of Services Pammvi Inc will provide the subscriber of service with the following services: Local Representative Services Pammvi Inc will act as authorised representatives on behalf of the subscriber of this service . Such service would include: - Provision of a local trading address for mailing purposes. - Issuance of sales & purchase contracts, distribution contracts etc (if required) - Business Development and introduction to local firms; - Liaising with local authorities, regulators and government agencies; - Liaising with your chosen local service providers (lawyers, accountants, banks etc) to ensure smooth operation; - Regular conference calls and correspondence with the Company’s Management. Limitation of our work Our work will be limited to the services mentioned above. We accept no responsibility for matters not covered by scope of our work. Our procedures and enquiries will not include verification work or constitute an audit in accordance with generally accepted auditing standards. Accordingly, we will not express any opinion on any financial data or other information provided by you or your agents in connection with this assignment. Your responsibilities are as under You acknowledge and agree that our performance of the Services is dependent on the timely and effective provision of information as you may be asked to provide in connection with this engagement, as well as timely decisions and approvals by you. Confidentiality Pammvi Inc understands that the Company and/or its affiliates from time to time, may impart to him confidential information, whether such information is written, oral or graphic (the “Confidential Information”). Such Confidential Information includes, without limitation, internal financial information of the Company or its affiliates. Pammvi Inc hereby acknowledges the Company’s exclusive ownership of such Confidential Information and agrees: (1) only to use the Confidential Information to provide services to the subscriber and its affiliates; (2) only to communicate the Confidential Information to fellow employees, agents and representatives on a need-to-know basis; and (3) not to otherwise disclose or use any Confidential Information, except as may be required by law or otherwise authorized by the Company. Liability Without prejudice to any defence which Pammvi Inc may have, you agree that Pammvi Inc, its directors, employees or agents, will not be liable to you for any loss, liability, damage, cost, charge or expense of whatever nature and howsoever caused and including interest (together “Losses”) unless and then only to the extent that such Losses are finally determined to have resulted from Pammvi Inc’s breach of contract or negligence and which also will be subject to maximum of 999 US$ paid by the client to Pammvi Inc .Pammvi Inc neither owes nor accepts any duty to any person other than you. Pammvi Inc and its directors, employees or agents shall not be liable for any Losses suffered by any other person caused by that or any other person’s use of or reliance on our deliverables or our advice. Acknowledgement and acceptance Please ensure that you have considered fully all of the terms and conditions set out in this letter. If, in the context of all the factors relating to our services, these are acceptable to you, please let us have your written agreement to these arrangements by signing below and returning to us a scanned copy
